Terms and Conditions

Distributor Requirements:
A business license and resale certificate with a minimum opening order of $1,400.00 will be
required to initiate a new account at W/D pricing. (This amount is subject to change with seasonal
promotions and/or private label programs.)

Terms of Sale:
First order is shipped pre-paid with approved VISA/MC. Subsequent orders (oac) shipped terms.
Term accounts are due within thirty (30) days from ship date.

Re-orders:
A minimum of $50.00 will be required for each re-order, except for "drop-ship" orders.

Maintenance:
To maintain W/D status, a minimum order must be placed each month, with delivery within 10 days
of placement.

Freight:
All orders are F.O.B. Pinon Hills, CA by UPS ground, unless otherwise specified. Re-orders totaling
a minimum of $600.00 product, will be 'free-freight', if requested when placing order. Factory
reserves the right to cancel or backorder any item on customer order, if unavailable at time of
placement. Customer will be notified either by phone, fax or e-mail if an item cannot ship, as well
as expected ship date. Back-orders will ship when available. Damage claims are to be made to
carrier immediately. We accept no responsibility for damage to parts as a result of
shipping. Shortages in shipment MUST BE REPORTED TO FACTORY WITHIN FIVE (5) days of
receipt of merchandise. We will NOT be responsible for shortages reported after that time.

Returns:
Permission must be obtained from the factory for any returns. NO returns will be accepted for
credit or replacement without an RGA#. ALL returned merchandise must be insured, shipped
freight prepaid and have an RGA# marked on outside of the carton, as well as packing list
document. COD shipments will be refused. Returned merchandise is subject to a 20% restocking
fee. No items may be returned after thirty (30) days from date of invoice, (unless it is a "dot-M"
warranty or stock-adjustment item). Any error on our part will be promptly corrected and will be
immediately shipped, with exchange, credit or refund at no charge.

Stock Adjustments:
Slow moving or obsolete inventory may be returned annually, AFTER receipt of written approval
and RGA# and will be valid for thirty (30) days after issuance. Stock adjustments in any calendar
year are limited to 3% of previous year's net purchases, and MUST be accompanied by a "2-4-
1" (two for one) offsetting order. All returns must be complete within original packaging and
shipped prepaid.

Co-Op Advertising:
One-hundred percent (100%) of your net advertising costs, up to a total of 3% of the previous
year purchases, may be reimbursed. To claim, submit a tear sheet and written request for credit
quarterly for previous year of claim.
